KBox Terms of Service

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to create an account, make purchases, sell Collectibles to KBox, withdraw funds, or otherwise use transaction-related features of the Services.

By using the Services, you represent and warrant that you satisfy these requirements and that your use of KBox complies with all laws applicable to you.

KBox may restrict or prohibit access to the Services from particular jurisdictions or by particular users when we determine such restrictions are appropriate or required.

2. The KBox Service

KBox provides an entertainment and collectibles platform through which users may purchase randomized digital packs ("Packs") that reveal collectible items ("Collectibles"), including collectible trading cards and similar merchandise.

When purchasing a Pack, you do not know which specific Collectible will be revealed before the Pack is opened.

Collectibles available through KBox may have different market values, rarity levels, characteristics, and desirability.

Purchasing a Pack does not guarantee that the Collectible you receive will have a market value equal to or greater than the price you paid for the Pack.

You should purchase Packs only if you are willing to accept the Collectible randomly assigned to you.

3. Pack Purchases and Randomized Reveals

The price of each Pack will be displayed before purchase.

Once you authorize the purchase of a Pack and the Pack is opened or its contents are determined, the purchase is final except as expressly provided in these Terms or required by applicable law.

The contents of Packs are determined through KBox's allocation and randomization systems. KBox may establish different Pack types, price tiers, inventory pools, rarity distributions, minimum values, promotional structures, or other Pack characteristics.

Where KBox displays probabilities, odds, guaranteed values, minimum values, or similar characteristics for a Pack, those disclosures apply to the Pack as described at the time of purchase.

KBox may modify the composition, pricing, probabilities, or characteristics of future Packs at any time. Such changes will not retroactively alter a Pack that you have already purchased and opened.

KBox does not guarantee that any particular Collectible will be available in a Pack unless expressly stated otherwise.

4. Collectible Value and Buyback Offer

Immediately after a Pack is opened and the Collectible is revealed, KBox will display a value for the Collectible ("Displayed Value") and the amount KBox is offering to pay to purchase that Collectible from you ("Buyback Amount").

The Buyback Amount will be clearly displayed to you following the reveal.

KBox may determine Displayed Values and Buyback Amounts using methods selected by KBox, which may include recent sales information, marketplace transactions and listings, third-party pricing information, internal transaction data, condition assumptions, availability, and other relevant factors.

A Displayed Value or Buyback Amount is not an appraisal, guarantee of fair market value, representation of resale value, or promise that you could purchase or sell the Collectible for that amount through another marketplace.

Collectible markets can change rapidly. Prices may differ materially among marketplaces, sellers, transactions, locations, card conditions, and periods of time.

The Buyback Amount displayed following the reveal represents the amount KBox is offering to pay for that Collectible under the applicable terms of the Services.

5. Your Options After a Pack Is Opened

After a Pack is opened and your Collectible is revealed, KBox will display the options available for that Collectible.

Unless otherwise expressly disclosed for a particular Pack, Collectible, or promotion, you may:

1. Sell the Collectible to KBox for the Buyback Amount displayed by KBox; or
2. Request physical shipment of the Collectible within the applicable seven-day election period.

If you sell the Collectible to KBox, you relinquish your right to receive physical shipment of that Collectible.

If you request physical shipment, the applicable Buyback Amount will no longer be available once the shipment election becomes final.

6. Seven-Day Shipment Election Period

Unless otherwise expressly stated for a particular Collectible or promotion, you will have seven (7) days after a Collectible is revealed to request physical shipment.

The applicable deadline may be displayed within your KBox account.

To request shipment, you must provide the requested shipping information and pay all applicable shipping, handling, taxes, duties, or other charges.

If you do not request physical shipment before the applicable seven-day deadline, you authorize KBox to automatically purchase the Collectible from you for the Buyback Amount displayed following the original Pack reveal.

Upon completion of the automatic buyback:

• your right to request or receive physical fulfillment of that Collectible ends;
• KBox acquires your rights to the applicable physical Collectible; and
• the Buyback Amount will be added to your KBox account balance.

You expressly authorize this automatic transaction by purchasing and opening a Pack subject to these Terms.

7. Selling a Collectible to KBox

You may elect to accept KBox's Buyback Amount at any time during the applicable election period before requesting physical shipment.

By accepting the Buyback Amount, you irrevocably transfer to KBox your right to receive or otherwise claim the applicable physical Collectible.

Once the buyback transaction is completed, you may no longer request shipment of that Collectible.

The Buyback Amount will be credited to your KBox account balance immediately following completion of the buyback, subject to payment processing, security, fraud-prevention, or technical requirements.

8. KBox Account Balance and Withdrawals

Amounts KBox pays you for Collectibles will initially be credited to the balance associated with your KBox account ("KBox Balance").

Your KBox Balance may be used for eligible purchases through KBox or withdrawn at your election at any time, subject to reasonable identity verification, payment processing, fraud prevention, security procedures, and applicable law.

KBox may make withdrawals available through one or more supported payment methods. Available withdrawal methods and any applicable processing information will be displayed through the Services.

KBox will not require you to spend Buyback Amounts on additional KBox purchases as a condition of receiving those amounts.

Your KBox Balance is not a bank account, savings account, investment account, cryptocurrency, or security. KBox Balances do not earn interest.

KBox may separately issue promotional credits, bonuses, or other non-cash credits. Promotional credits may be non-withdrawable, non-transferable, subject to expiration, or subject to other restrictions if those restrictions are disclosed when the promotional credits are issued.

KBox may temporarily delay a withdrawal when reasonably necessary to investigate suspected fraud, unauthorized transactions, account compromise, chargebacks, identity-verification issues, or other suspicious activity.

9. Physical Fulfillment and Sourcing

KBox may use a combination of inventory owned or controlled by KBox and Collectibles sourced through third-party sellers, marketplaces, dealers, distributors, or other suppliers.

Accordingly, the physical Collectible associated with a reveal does not necessarily need to be physically located in KBox's possession at the moment the Pack is opened.

When you timely elect physical fulfillment, KBox will use commercially reasonable efforts to fulfill the Collectible represented by your Pack reveal.

Unless a particular condition is expressly guaranteed, collectible condition may vary within the condition standards or descriptions applicable to the item.

If KBox is unable to obtain or fulfill the applicable Collectible after commercially reasonable efforts, KBox may:

1. offer a comparable replacement, subject to your acceptance;
2. credit your KBox Balance for an amount at least equal to the Buyback Amount originally displayed for that Collectible; or
3. provide another mutually agreed remedy.

KBox will not intentionally substitute a different Collectible for the Collectible you requested without disclosure.

10. Authenticity and Condition

KBox intends to provide authentic Collectibles and may use third-party marketplaces, authentication services, grading companies, dealers, suppliers, or other sources in doing so.

Unless expressly stated otherwise, KBox does not guarantee that a Collectible will receive any particular grade from PSA, Beckett, CGC, or any other grading or authentication company.

Images displayed through the Services may be representative images rather than photographs of the exact physical item ultimately fulfilled, unless expressly identified as the exact item.

Minor manufacturing differences, printing variations, packaging differences, normal wear, and other condition differences may exist.

Material condition guarantees applicable to a particular item, if any, will be disclosed through the Services.

11. Shipping

Customers requesting physical fulfillment are responsible for applicable shipping and handling charges unless KBox expressly states otherwise.

You are responsible for providing a complete and accurate shipping address.

KBox is not responsible for delays or delivery failures resulting from incorrect information supplied by you, carrier delays, customs procedures, force majeure events, or circumstances reasonably outside KBox's control.

Risk-of-loss rules and remedies for lost or damaged shipments may depend upon the shipping method, carrier, insurance coverage, and applicable law.

International customers are responsible for customs duties, import taxes, brokerage charges, and other governmental charges unless expressly stated otherwise.

12. Payments

You authorize KBox and its payment service providers to charge your selected payment method for purchases and other amounts you authorize through the Services.

Prices and applicable taxes or fees will be disclosed during the applicable transaction.

You agree not to initiate an improper or fraudulent chargeback for a valid transaction.

If you believe a charge is incorrect, contact KBox so that we can investigate it.

KBox may suspend transaction functionality while investigating suspected payment fraud, unauthorized transactions, chargebacks, account compromise, or other suspicious activity.

13. Refunds and Finality

Because Pack contents are revealed immediately and the identity of a Collectible becomes known upon opening, Pack purchases generally cannot be canceled or refunded after the Pack has been opened or its contents revealed.

This policy does not limit any refund, cancellation, or other rights that cannot legally be waived.

KBox may issue refunds, credits, replacements, or other accommodations for technical errors, duplicate charges, fulfillment failures, or other exceptional circumstances.

14. Technical Errors and Erroneous Transactions

KBox attempts to operate the Services accurately, but technical, pricing, inventory, display, data, and software errors may occasionally occur.

KBox may investigate transactions reasonably believed to have resulted from a material technical malfunction, duplicate transaction, corrupted data, manifest pricing error, unauthorized access, manipulation, or similar error.

KBox will not use this provision to retroactively change a legitimate Pack outcome merely because a Collectible increased in value or a transaction was unfavorable to KBox.

Where a genuine material error occurred, KBox may correct the affected transaction and provide an appropriate refund, credit, replacement, or other remedy consistent with applicable law.

15. Fair Play and Prohibited Conduct

You may not:

• manipulate or attempt to manipulate Pack outcomes;
• exploit bugs, vulnerabilities, pricing errors, or technical malfunctions;
• use bots, scripts, automated purchasing systems, scraping systems, or other unauthorized automation;
• interfere with KBox's randomization, inventory, pricing, or allocation systems;
• create accounts to circumvent purchase or promotional restrictions;
• engage in payment fraud or unauthorized transactions;
• access another person's account without permission;
• use KBox for money laundering or other unlawful financial activity;
• reverse engineer protected portions of the Services except where legally permitted; or
• use the Services in violation of applicable law.

KBox may investigate suspected violations and may suspend or terminate accounts when reasonably necessary to protect KBox, its users, or the integrity of the Services.

16. Promotions

KBox may offer promotions, bonuses, promotional credits, giveaways, discounts, referral programs, or other special offers.

Additional terms may apply to those programs. If promotional terms conflict with these Terms with respect to the promotion, the specific promotional terms will control.

KBox may modify or discontinue future promotions at any time, subject to rights already earned and applicable law.

17. Collectibles, Not Investments

KBox is a collectibles and entertainment platform.

Collectibles offered through KBox are not offered as securities, investments, financial products, savings products, or opportunities to earn a financial return.

KBox does not provide investment, financial, tax, or trading advice.

Collectible values may increase or decrease, potentially substantially. You should not purchase Packs or Collectibles with money you cannot afford to spend.

Past or displayed Collectible values do not guarantee future values.

18. Intellectual Property and Third-Party Collectibles

KBox and its licensors own the KBox platform, software, design, branding, graphics, interfaces, and other proprietary materials created for the Services.

Collectibles displayed or sold through KBox may contain names, photographs, likenesses, artwork, logos, trademarks, copyrights, and other intellectual property owned by third parties.

Unless expressly stated otherwise, the availability of a third-party Collectible through KBox does not imply that the artist, performer, athlete, entertainment company, manufacturer, rights holder, or other third party sponsors, endorses, operates, or is affiliated with KBox.

All third-party trademarks and intellectual property remain the property of their respective owners.

19. User Accounts and Security

You are responsible for maintaining the confidentiality and security of your account credentials.

You are responsible for activity conducted through your account unless caused by circumstances for which applicable law makes KBox responsible.

You must promptly notify KBox if you believe your account or payment information has been compromised.

KBox may require identity, age, payment, or other verification when reasonably necessary for security, fraud prevention, regulatory compliance, withdrawals, or high-risk transactions.

20. Suspension and Termination

KBox may suspend or terminate an account for material violations of these Terms, fraud, abuse, unlawful activity, security threats, manipulation of the Services, or other conduct that materially threatens KBox or its users.

Where reasonably practicable, KBox will attempt to resolve legitimate outstanding customer balances following account termination, subject to fraud investigations, chargebacks, legal restrictions, and amounts properly owed to KBox.

Termination does not eliminate obligations or liabilities arising before termination.

21. Service Availability

KBox may add, modify, suspend, or discontinue features of the Services.

KBox does not guarantee uninterrupted or error-free operation.

Planned maintenance, emergency maintenance, third-party outages, marketplace disruptions, payment processor outages, internet failures, or other circumstances may temporarily affect availability.

Where an outage affects an active shipment election deadline, KBox may extend the applicable deadline when reasonably necessary to avoid unfairly depriving a user of an election.

22. Third-Party Services

KBox may rely upon or link to third-party payment processors, marketplaces, shipping carriers, authentication providers, analytics providers, hosting providers, or other services.

Those third parties may have their own terms and privacy practices.

KBox is not responsible for independent third-party services except to the extent responsibility cannot legally be excluded.

23. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

KBOX DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH DISCLAIMERS ARE PERMITTED BY LAW.

NOTHING IN THESE TERMS EXCLUDES WARRANTIES OR CONSUMER RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KBOX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KBOX'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO KBOX DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.

These limitations do not apply to liability that cannot legally be limited or excluded.

25. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless KBox and its affiliates, officers, managers, employees, and agents from third-party claims, liabilities, damages, and reasonable expenses arising from your unlawful use of the Services, material violation of these Terms, or infringement of another person's rights.

26. Disputes

Before initiating formal proceedings concerning a dispute, you and KBox agree to attempt in good faith to resolve the matter informally.

You may initiate the informal dispute process by contacting KBox at support@KBoxplay.com and providing a description of the dispute and the relief requested.

KBox may establish additional dispute-resolution procedures consistent with applicable law.

27. Changes to These Terms

KBox may update these Terms from time to time.

If we make material changes, we will provide notice through the Services, by email, or through another reasonable method.

Changes will become effective on the date specified in the updated Terms.

Where required by law, we will obtain additional consent before applying materially changed terms.

Your continued use of the Services after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.

28. General Terms

These Terms, together with policies and additional terms expressly incorporated into them, constitute the agreement between you and KBox concerning the Services.

If any provision is found unenforceable, the remaining provisions will remain effective to the fullest extent permitted by law.

KBox's failure to enforce a provision on one occasion does not waive its right to enforce that provision later.

You may not assign your rights under these Terms without KBox's consent. KBox may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or transfer of the Services, subject to applicable law.

Headings are provided for convenience and do not affect interpretation.
